1. Acceptance of Terms
By accessing or using the WingZen platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service.
WingZen Inc. is a technology platform that facilitates connections between customers seeking private aviation charter and independent, licensed aircraft operators. When you book through WingZen, you enter into a direct charter agreement with the aircraft operator identified in your booking confirmation. WingZen facilitates the connection and payment processing as your authorized agent. WingZen is not a direct air carrier, indirect air carrier, or air charter broker, and does not provide air transportation services.
Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and share your information, including with our third-party service providers. By using the Service, you acknowledge that you have read and understood the Privacy Policy.
These Terms constitute a binding legal agreement between you and WingZen Inc. ("WingZen," "we," "us," or "our"). If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.
2. User Accounts
2.1 Account Registration
To use certain features of the Service, you must register for an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.
2.2 Account Security
You are responsible for safeguarding your account credentials and for all activities that occur under your account. You must notify us immediately at service@wingzen.com of any unauthorized use of your account.
2.3 Account Types
WingZen offers two types of user accounts: Customer accounts for booking charter flights, and Operator accounts for listing aircraft and accepting bookings. Additional terms in these Terms apply specifically to each account type as indicated.
3. Platform Role & Verification Scope
WingZen is a technology platform and facilitator. WingZen does not operate aircraft, select operators for customers, or exercise operational control over any flight. The aircraft operator identified in your booking confirmation is solely responsible for all flight operations, aircraft maintenance, crew qualifications, regulatory compliance, and passenger safety.
3.1 What WingZen Verifies
WingZen verifies operator identity (via Stripe Identity) and banking information (via Stripe Connect onboarding). These verification steps are designed to confirm that an operator meets WingZen's onboarding requirements.
3.2 What WingZen Does Not Verify
WingZen does not independently verify operating certificates (FAA Part 135, Transport Canada CARs 702, or foreign equivalents), pilot licenses or medical certificates, maintenance records, airworthiness certificates, or day-to-day operational compliance. These remain the sole responsibility of the aircraft operator as set out in Section 6 below.
3.3 No Endorsement
Listing an operator or aircraft on the platform does not constitute WingZen's endorsement, recommendation, or guarantee of that operator's safety, quality, or regulatory compliance.
3.4 AI-Powered Features
The Service includes an AI-powered booking assistant that uses artificial intelligence to help you search for flights and answer questions about charter options.
The booking assistant is powered by Anthropic, a third-party AI provider. Messages you send to the assistant are processed by Anthropic to generate responses. See our Privacy Policy for details on how this data is handled.
AI-generated responses are for informational purposes only and do not constitute a booking, quote, price guarantee, or professional advice. Flight availability, pricing, and details shown by the assistant are subject to change and must be confirmed through the formal booking process. WingZen does not guarantee the accuracy, completeness, or reliability of AI-generated responses.
4. Booking and Payments
4.1 Booking Process
Customers may submit booking requests through the platform. Operators have the right to accept or decline booking requests at their discretion. A booking is confirmed only after the operator accepts the request and mutual agreement is reached on date, time, and route.
By completing a booking, you acknowledge the inherent risks of air travel as described in Section 18 (Assumption of Risk).
4.2 Payment Authorization
When you submit a booking request, a payment authorization (hold) is placed on your card. Your card is not charged at this time. Payment is captured only upon mutual agreement between you and the operator. If the booking is not confirmed (e.g., operator declines or you cancel before confirmation), the authorization hold is released with no charge.
4.3 Pricing
Aircraft pricing is set by operators. WingZen charges an 11% platform facilitation fee on each transaction. The price shown in search results is the total price you pay, inclusive of the facilitation fee. The facilitation fee is shown as an explicit line item ("Platform Fee") at checkout and on flight detail pages. No additional platform charges will be added beyond what is displayed.
4.4 Payment Processing
Payments are processed via Stripe Connect using destination charges. When your booking is confirmed, payment is captured directly to the aircraft operator's Stripe connected account — WingZen receives only its platform facilitation fee. The operator is the merchant of record. The operator's name will appear on your card statement.
4.5 Group Payment (Single Entity Charter)
When using WingZen's group payment feature, the primary passenger is the sole charterer of the aircraft. Co-payers are contributing to the primary passenger's payment obligation for a single charter booking. This is not a seat-sharing, per-seat, or shared flight arrangement. The primary passenger is responsible for the conduct and compliance of all passengers on the booking. Co-payers do not have independent contractual standing with the aircraft operator.
4.6 Taxes
Applicable taxes (including Canadian GST/HST where required) will be calculated and displayed at checkout. Tax on WingZen's platform facilitation fee is collected by WingZen. Tax on the charter price, where applicable, is the responsibility of the aircraft operator. Tax amounts are shown before you authorize payment.
4.7 Agent Appointment for Payment Collection
By registering as an aircraft operator on the WingZen platform, each operator expressly appoints WingZen Technologies Inc. as the operator's limited agent for the sole purpose of facilitating the payment connection between customers and the operator. This appointment is limited to directing the payment flow through Stripe Connect infrastructure and does not extend to any other authority.
Under this agency arrangement: (a) the charter price flows directly to the operator's Stripe connected account via destination charges — WingZen does not collect or hold the charter price on the operator's behalf; (b) WingZen retains only its own platform facilitation fee (11% of the charter price) as compensation for providing the technology platform; (c) the customer's payment obligation to the operator is satisfied at the time Stripe processes the transaction, regardless of any subsequent payout timing; and (d) WingZen's role is that of a technology platform and payment facilitator — not a payment processor, money transmitter, or financial intermediary.
This structure is designed to maintain WingZen's status as a technology marketplace and not a Money Services Business (MSB) under the Proceeds of Crime (Money Laundering) and Terrorist Financing Act (PCMLTFA) or a payment service provider requiring registration under Canada's Retail Payment Activities Act (RPAA). Stripe Inc. is the regulated payment service provider handling all fund transmission.
5. Cancellations and Refunds
5.1 Before Booking Confirmation
If you cancel before the operator confirms your booking (or before you accept a proposed alternative time), your card will not be charged. The authorization hold will be released automatically.
5.2 After Booking Confirmation — Operator Cancellation Policy
Once both parties have agreed and your payment has been captured, the cancellation policy set by the aircraft operator applies. Each operator sets their own cancellation policy structured around four time windows before departure:
- More than 7 days before scheduled departure
- 48 hours to 7 days before scheduled departure
- 24 to 48 hours before scheduled departure
- Less than 24 hours before scheduled departure
Each operator sets their own refund percentages per window. The maximum refund is 89% — the platform facilitation fee (11%) is non-refundable in all cases. The specific cancellation policy applicable to your booking is set by the aircraft operator, displayed at checkout, and snapshotted into your booking record at the time of booking.
5.3 Operator Cancellations
If the operator cancels a confirmed booking, you will receive a full 100% refund regardless of timing.
5.4 Refund Processing
Refunds are processed via the original payment method and typically appear within 5–10 business days, depending on your financial institution.
5.5 Chargeback Pre-Condition
Before initiating a chargeback or payment dispute with your financial institution, you agree to first contact WingZen at service@wingzen.com and allow ten (10) business days to attempt resolution through the platform's dispute process (see Section 11). WingZen reserves the right to dispute chargebacks filed without prior contact and to suspend your account pending resolution.
6. Operator Representations and Warranties
By creating an Operator account and listing aircraft on the platform, you represent, warrant, and covenant on a continuing basis that:
6.1 Continuing Warranties
- You hold a valid and current air operator certificate (FAA Part 135, Transport Canada CARs 702, or the equivalent authority issued by your home aviation regulator) authorizing the type of charter operations you list on the platform;
- All pilots assigned to flights booked through the platform hold valid, current pilot certificates with appropriate type ratings and current medical certificates;
- Each aircraft listed on the platform holds a valid airworthiness certificate and is maintained in compliance with all applicable regulations and manufacturer maintenance programs;
- You maintain commercial aviation liability insurance with a minimum coverage of CAD $2,000,000 (or USD equivalent) per occurrence, naming passengers as covered parties;
- You have no pending enforcement actions, certificate suspension proceedings, or consent orders from any aviation regulatory authority that would affect your ability to perform charter flights;
- All information you provide to WingZen — including but not limited to aircraft specifications, certifications, and pricing — is accurate, complete, and not misleading;
- You comply with all applicable federal, provincial/state, and local laws and regulations governing your charter operations, including aviation safety, labor, tax, and anti-discrimination laws.
6.2 Notification Obligations
You must notify WingZen in writing (at legal@wingzen.com) as soon as practicable, and in any event within twenty-four (24) hours, of any of the following:
- Suspension, revocation, or restriction of your air operator certificate or any pilot certificate;
- Commencement of any enforcement action, investigation, or formal inquiry by an aviation regulatory authority;
- Lapse, cancellation, or material reduction of your aviation liability insurance;
- Any accident, incident, or occurrence reportable to your aviation regulator involving an aircraft listed on the platform;
- Disqualification of any pilot assigned to a booking made through the platform.
6.3 Breach Consequences
Breach of any warranty or failure to provide required notification may result in, at WingZen's sole discretion: (a) immediate deactivation of your aircraft listings and Operator account; (b) cancellation of pending and confirmed bookings, with full customer refunds at your expense; (c) withholding or forfeiture of any held earnings; and (d) pursuit of any other remedies available under these Terms or applicable law.
6.4 Operator Platform Obligations
Operators must also: complete WingZen's verification process; respond to booking requests within the specified timeframe; provide accurate information about aircraft capabilities and availability; and comply with all platform policies and guidelines.
6.5 Operator Cancellation Penalties
If an operator cancels a confirmed booking (a booking where payment has been captured following mutual agreement), the customer will receive a full 100% refund. In addition, the operator will be charged a cancellation penalty equal to the platform facilitation fee (11% of the total booking amount). This penalty is collected via a transfer from the operator's connected Stripe account, which may result in a negative balance on that account. Negative balances are recovered by Stripe from the operator's future earnings or, if insufficient, by direct debit from the operator's linked bank account.
This penalty does not apply to pre-agreement cancellations (where the operator declines a booking request before confirmation) or to cancellations resulting from qualifying force majeure events as described in Section 15.
Operators acknowledge and agree to this cancellation penalty as a condition of listing aircraft on the platform.
7. Operator Indemnification
Each operator agrees to indemnify, defend, and hold harmless WingZen Inc., its officers, directors, employees, agents, and affiliates (collectively, "WingZen Parties") from and against any and all claims, demands, actions, losses, damages, liabilities, costs, and expenses (including reasonable legal fees and disbursements) arising out of or relating to:
- The operator's flight operations, including but not limited to takeoff, flight, and landing;
- Aircraft maintenance, airworthiness, or mechanical condition;
- Crew qualifications, training, currency, or fitness for duty;
- Non-compliance with any aviation regulation, operating certificate, or applicable law;
- Passenger injury, death, or property damage arising from or during any flight;
- Any misrepresentation or omission in the operator's certifications, insurance, aircraft specifications, or other information provided to WingZen or displayed on the platform;
- Tax obligations related to the operator's charter services;
- Any claim by a third party arising from the operator's use of the platform.
This indemnification obligation survives termination of the operator's account and these Terms. The operator shall cooperate fully with WingZen in the defense of any indemnified claim and shall not settle any claim without WingZen's prior written consent.
8. Customer Responsibilities
Customers using the platform agree to:
- Provide accurate passenger information, including names, dates of birth, and travel documents as requested by the operator;
- Comply with all operator safety instructions, aviation security requirements, and applicable regulations;
- Arrive at the designated FBO or meeting location at the time specified in your booking confirmation;
- Ensure all passengers on the booking have appropriate identification and travel documents;
- Not engage in any illegal activities during flights or at aviation facilities;
- Be responsible for the conduct and compliance of all passengers listed on the booking;
- Comply with operator weight, baggage, and hazardous material restrictions.
9. Customer Indemnification
You agree to indemnify, defend, and hold harmless the WingZen Parties from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to: (a) your use of the platform; (b) your breach of these Terms; (c) the conduct of any passengers on your booking; (d) any dispute between you and an aircraft operator that is not resolved through the platform's dispute process; or (e) your violation of any applicable law or regulation.
10. User Content
10.1 License Grant
By uploading, posting, or otherwise making available any content on the platform — including but not limited to photographs, aircraft descriptions, operator profiles, and aircraft specifications ("User Content") — you grant WingZen a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, modify, adapt, publish, display, and distribute such User Content in connection with operating and promoting the platform.
10.2 Content Ownership
You represent and warrant that you own or have obtained all necessary rights, licenses, and permissions for all User Content you upload, and that such content does not infringe the intellectual property or other rights of any third party.
10.3 Content Removal
You may remove your User Content from the platform at any time through your account settings. The license granted in Section 10.1 will terminate with respect to removed content within a reasonable period, except that WingZen may retain copies for a reasonable period for archival, legal compliance, dispute resolution, or enforcement purposes.
11. Dispute Resolution
11.1 Platform Dispute Process
Users may submit disputes through the platform within seven (7) days of the scheduled flight date. WingZen facilitates communication between the parties and may assist in resolving disputes at its discretion. However, WingZen does not render binding decisions — the final resolution remains between the customer and the aircraft operator.
11.2 Platform Resolution Authority
WingZen's maximum refund and resolution authority is limited to the amount actually captured for the booking through the platform. WingZen has no authority to award damages, compensation beyond the captured booking value, or consequential damages. The customer's sole remedy through the platform dispute process is a refund of up to the total amount captured for the booking.
11.3 Mandatory Informal Resolution Period
Before initiating arbitration or any legal proceeding against WingZen, you must first attempt to resolve the dispute informally. You must send a written description of the dispute, your desired resolution, and any supporting documentation to legal@wingzen.com. WingZen will have thirty (30) days from receipt of your notice to respond. Only after this 30-day informal resolution period has expired without resolution may either party initiate arbitration under Section 12.
11.4 Flight Operation Claims
Claims arising from flight operations — including but not limited to personal injury, death, property damage, delays, diversions, or service quality during the flight — must be directed to the aircraft operator and the operator's insurance carrier. WingZen, as a technology platform, does not accept liability for flight operations conducted by independent operators.
12. Arbitration & Class Action Waiver
12.1 Binding Arbitration
Subject to the mandatory informal resolution period in Section 11.3, any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof — including the determination of the scope or applicability of this agreement to arbitrate — shall be determined by binding arbitration administered in accordance with the National Arbitration Rules of the ADR Institute of Canada. The arbitration shall be conducted in Calgary, Alberta, by a single arbitrator. The language of the arbitration shall be English.
12.2 Arbitration Fees
Each party shall bear its own legal fees and costs. The arbitrator's fees and the ADR Institute's administrative fees shall be shared equally, except that if the arbitrator determines that your claim was brought in good faith, WingZen will reimburse your share of the arbitrator's fees and administrative fees for claims with an amount in controversy of CAD $10,000 or less.
12.3 Class Action Waiver
YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.
12.4 Small Claims Court
Notwithstanding the foregoing, either party may bring an individual claim in small claims court if the claim qualifies for small claims jurisdiction in the province or state where you reside.
12.5 Quebec Consumer Carve-Out
If you are a consumer resident of Quebec, this arbitration clause (Section 12) does not apply to you to the extent prohibited by the Consumer Protection Act (Quebec). Quebec consumer residents may bring claims in the courts of Quebec in accordance with applicable Quebec consumer protection law.
13. Disclaimer of Warranties
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WINGZEN DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
WITHOUT LIMITING THE FOREGOING, WINGZEN DOES NOT WARRANT THAT: (A) THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (B) THE INFORMATION PROVIDED BY OPERATORS ON THE PLATFORM, INCLUDING AIRCRAFT SPECIFICATIONS, PHOTOS, DESCRIPTIONS, PRICING, AND AVAILABILITY, IS ACCURATE, COMPLETE, OR CURRENT; (C) ANY PARTICULAR OPERATOR WILL MEET YOUR EXPECTATIONS OR REQUIREMENTS; OR (D) THE RESULTS OBTAINED FROM THE USE OF THE SERVICE WILL BE ACCURATE OR RELIABLE.
YOU ACKNOWLEDGE THAT WINGZEN IS A TECHNOLOGY PLATFORM AND THAT ALL FLIGHT SERVICES ARE PROVIDED BY INDEPENDENT, THIRD-PARTY OPERATORS OVER WHOM WINGZEN EXERCISES NO OPERATIONAL CONTROL.
14. Limitation of Liability
14.1 Exclusion of Consequential Damages
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WINGZEN INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUES, DATA, OR GOODWILL, WHETHER INCURRED DIRECTLY OR INDIRECTLY, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE), EVEN IF WINGZEN HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
14.2 Per-Booking Cap
FOR ANY CLAIM ARISING FROM OR RELATING TO A SPECIFIC BOOKING, WINGZEN'S TOTAL LIABILITY SHALL NOT EXCEED THE PLATFORM FACILITATION FEE ACTUALLY RECEIVED BY WINGZEN FOR THAT BOOKING.
14.3 Aggregate Cap
IN NO EVENT SHALL WINGZEN'S AGGREGATE LIABILITY FOR ALL CLAIMS ARISING UNDER OR IN CONNECTION WITH THESE TERMS DURING ANY TWELVE (12) MONTH PERIOD EXCEED THE GREATER OF: (A) THE TOTAL PLATFORM FACILITATION FEES PAID BY YOU TO WINGZEN DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (B) ONE HUNDRED CANADIAN DOLLARS (CAD $100).
14.4 Mandatory Exclusions
Nothing in these Terms excludes or limits WingZen's liability for: (a) death or personal injury caused by WingZen's negligence; (b) fraud or fraudulent misrepresentation by WingZen; or (c) gross negligence or willful misconduct by WingZen.
14.5 Aviation Liability Allocation
All claims relating to flight operations — including but not limited to personal injury, death, property damage or loss, flight delays, diversions, and cancellations arising from the operation of aircraft — are the sole responsibility of the aircraft operator. Your sole recourse for such claims is against the aircraft operator and the operator's aviation liability insurance carrier. WingZen, as a technology platform that does not operate aircraft, accepts no liability for flight operations conducted by independent operators.
15. Force Majeure
15.1 Qualifying Events
Neither WingZen nor any operator shall be liable for failure or delay in performing obligations under these Terms where such failure or delay results from events beyond the affected party's reasonable control, including but not limited to:
- Acts of God, natural disasters, earthquakes, floods, hurricanes, or severe weather;
- Pandemic, epidemic, or public health emergency;
- War, terrorism, civil unrest, or government actions;
- Airspace closure or restriction by any national authority;
- Air Traffic Control (ATC) ground stop, traffic management program, or flow control delay;
- NOTAM (Notice to Air Missions) restrictions affecting the route or destination;
- Transport Canada, FAA, or equivalent authority airworthiness directive grounding the aircraft type;
- Operator's air operator certificate suspension or revocation by a regulatory authority;
- Pilot medical disqualification rendering the flight crew unfit for duty;
- Aircraft mechanical grounding by a licensed aircraft maintenance engineer;
- Labor disputes, strikes, or lockouts;
- Failure of third-party services including payment processors, telecommunications, or utilities.
15.2 Operator Notice Requirement
An operator invoking force majeure must notify WingZen as soon as practicable, and in any event within four (4) hours of becoming aware of the event, providing reasonable documentation of the qualifying event.
15.3 Customer Remedy
When a confirmed booking is cancelled due to a qualifying force majeure event, the customer will receive a full refund of all amounts captured. Neither WingZen nor the operator has any obligation to rebook, provide alternative transportation, or compensate consequential costs (e.g., hotel, ground transportation, or lost business opportunity).
16. Intellectual Property
The WingZen platform, including its design, software, source code, features, logos, trademarks, and original content, is owned by WingZen Inc. and protected by intellectual property laws. You may not copy, modify, distribute, reverse engineer, or create derivative works based on any part of the platform without our express written permission. Nothing in these Terms grants you any right, title, or interest in the WingZen name, logo, or trademarks.
17. Marketing Communications
WingZen may send you transactional emails related to your account and bookings (including booking confirmations, payment receipts, security alerts, account notifications, and pre-flight reminders). These transactional messages are necessary for the performance of the Service and are exempt from marketing consent requirements.
Marketing and promotional emails require your explicit opt-in consent in accordance with Canada's Anti-Spam Legislation (CASL, S.C. 2010, c. 23). You will not receive marketing emails unless you have affirmatively opted in. You may withdraw your marketing consent at any time by using the unsubscribe link in any marketing email or by contacting us at service@wingzen.com.
Withdrawal of marketing consent does not affect our ability to send transactional messages related to your account and active bookings.
18. Assumption of Risk
Private aviation inherently involves risks, including but not limited to turbulence, mechanical issues, weather-related delays or diversions, emergency landings, and the general risks associated with flight operations in small aircraft. These risks include, in extreme cases, serious injury or death.
By booking a charter flight through WingZen, you acknowledge and accept these inherent risks. You understand that WingZen, as a technology platform and facilitator, bears no responsibility for risks arising from the operation of aircraft by independent operators. Your acceptance of this risk is a material condition of your use of the Service.
19. Termination
We may suspend or terminate your account at any time for violation of these Terms, for breach of any representation or warranty, for fraudulent or illegal activity, or for any other reason at our sole discretion. Upon termination, your right to use the Service ceases immediately.
Termination does not affect: (a) any accrued rights or obligations, including any confirmed bookings or pending refunds; (b) the indemnification obligations in Sections 7 and 9; (c) the limitation of liability in Section 14; or (d) any other provision that by its nature should survive termination.
20. Changes to Terms
We reserve the right to modify these Terms at any time. For material changes, we will provide at least thirty (30) days' prior notice via email to the address associated with your account or through a prominent notice on the platform. Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the Service.
21. Governing Law & Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the Province of Alberta and the federal laws of Canada applicable therein, without regard to conflict of laws principles. Subject to Section 12 (Arbitration), any disputes shall be subject to the exclusive jurisdiction of the courts of Alberta, Canada.
22. Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court or arbitrator of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving the parties' original intent.
23. Entire Agreement
